[LEFT]SECTION I: JOB PURPOSE:
This role is responsible for developing and leading the ITFC Legal department and advising on the overall ITFC strategy from a legal standpoint by communicating issues, legal risks, opportunities and trends on a regular basis. This role is also responsible for guiding cross-border trade activities and promotion by providing opinion and advice from a legal and Shariah compliance perspective as well as ensuring legal representation for ITFC in matters of conflict. In addition, this role is responsible for representing new products to the Shariah committee on behalf of ITFC.
SECTION II: KEY RESPONSIBILITIES:
Key Strategic Responsibilities:
Setting the business direction and vision for ITFC, by articulating the strategic priorities for the organization and identifying enablers for success in the long term, in collaboration with the senior leadership of the organization.
Establishing the Legal Department’s short and long term strategy in line with organizational priorities, to support ITFC growth in line with Shariah principles and legal requirements while protecting ITFC interests across OIC member countries.
Conceptualising mandates for improving departmental functioning and establishing the policy framework, standards, operating procedures and manuals to guide the long-term effectiveness of the Legal Department.
Driving the strategic priorities and vision for ITFC by devising plans for implementation within the Department and guiding execution.
Managerial Responsibilities:
Formulating the Legal Department budgets in conjunction with the organizational budget, tracking expenses and ensuring adherence.
Finalizing the needs of the department and obtaining requisite approvals.
Managing the team under the Legal department by evaluating performance of team members against set targets, providing feedback on an ongoing basis, identifying development needs and coaching them to ensure ongoing capability development.
Conducting trainings for the ITFC team on various aspects on which the role holder has subject matter expertise.
Core Responsibilities:
Leading cross-departmental interactions to leverage synergies and drive process efficiencies in the organization. Setting expectations for the nature of support that will be provided by the Legal Department and establishing common mechanisms for smooth cross-departmental communication.
Legal Advice, Compliance and Due Diligence
Institutionalising processes and systemic checks and balances to ensure that the inherent compliance requirements are followed for all transactions.
Guiding the effective implementation of the Legal Due Diligence process in order to ensure legality in trade operations, resource mobilization processes, liquidity investments and any other interactions with the private sector.
Ensuring timely completion of legal contracting, agreements, notifications, MOUs and documentation required to process all Financing and Corporate transactions post approval.
Reviewing and analyzing pan-organizational operating policies, processes and procedures and establishing adequate controls to minimize the legal risk from a corporate transactions perspective (such as Recruitment Process, Procurement Process, Labour laws, Intellectual Property and Copyrights etc.).
Overseeing the provision of legal opinion and counsel on Financing and Corporate transactions in line with Shariah principles and regulatory requirements and providing legal approvals in order to minimise financial, legal and reputational risks.
Advising the board and senior management on group matters, emerging trends, developments and risk factors in the exte
al legal environment across member countries, with a potential impact on ITFC’s line of business. Forging mitigating strategies to address the risks and safeguard ITFC’s interests from a legal standpoint.
Ensuring provision of guidance and interpretation on administrative policies and instructions, IDB Group and ITFC privileges and immunities in labour, fiscal and trading areas from the Legal Department.
Legal Representation
: Ensuring adequate representation for ITFC in legal proceedings and guiding senior management on the most optimal course of action on complex litigations and high value recovery cases, to safeguard ITFC interest at all times.
Managing Partnerships
Forging and maintaining partnerships that may have legal outcomes such as with trade organizations, Multilateral Development Banks, world trade bodies as well as partnerships with locally based legal service providers across member countries in order to solicit expert local legal advice and ensure representation.
New Product Development
Providing professional legal opinion and advice to the senior management on new modes of financing being developed, ensuring that they are structured in a Shariah compliant manner and are devoid of legal risks.
Representing ITFC to the Shariah committee and presenting new products from a Shariah compliance perspective.
Analyzing and presenting reports pertaining to Legal to ITFC Senior Management in order to provide them with a comprehensive overview and analysis of Legal Department activity, performance and results.
Participating & providing inputs in various committees, as applicable to the role.
SECTION IV: KNOWLEDGE, SKILLS & COMPETENCIES:
Masters/Post Graduate Degree in Law and Practice License
Language Skills:
English is compulsory
Knowledge of French& Arabic will be an added advantage
Years of Experience: 12+ years of experience
